Haaris trained and qualified as a commercial solicitor at a city firm in 2024, joining Orwins shortly after.
He advises across a broad range of transactional and corporate matters, with a particular focus on mergers and acquisitions, corporate structuring and early-stage investment work. Haaris frequently acts as lead adviser on private M&A transactions, with day-to-day responsibility for managing share and asset acquisitions, negotiating key transaction documents and driving deals to completion, acting predominantly for clients in the healthcare sector, including nurseries, dental practices, pharmacies and care homes.
Haaris advises a wide range of clients on shareholders' agreements and ownership structures, typically at the outset of a business or at key points in its growth. He regularly acts for founder-led and investor-backed companies, including in 50:50 and minority shareholder scenarios, and has experience structuring equity arrangements using alphabet shares. His work commonly involves advising on deadlock provisions, good and bad leaver mechanics, and drag and tag rights, as well as implementing related share reorganisations and share-for-share exchanges.
Haaris also has significant experience advising on corporate restructurings and demergers, including the separation of shareholder interests and business assets. Recent work includes demergers involving groups of property companies and the division of pharmacy businesses between departing owners. He works closely with accountants and financial advisers to ensure transactions are executed smoothly and aligned commercially across all advisers.
